Terms and Conditions

1. Investment Structure: 

 

 * Lease Agreement: The Client owns a three-year lease agreement for the land in Thailand. 

 

 * Yield: The Client will receive a yearly yield of 10 to 15% on their investment. 

 

 

2. Investment Period: 

 

 * Initial Term: The investment will initially run for the duration of the three-year lease agreement. 

 

 * Renewal: The investment may be renewed at the end of the initial term, subject to mutual agreement between the parties. 

 

 

3. Yield and Payment Schedule: 

 

 * Yield Calculation: The yield will be calculated based on the total investment amount. 

 

 * Payment Frequency: Yield payments will be made annually or as agreed upon by the parties. 

 

 

4. Early Termination: 

 

 * Penalty: If the Client requests to end the land lease agreement early, they can do so afteran initial 12 month lease period and they will be

   subject to a one-month penalty per 6 months of leasing, equal to the monthly yield. 

 

 * Termination Process: The early termination must be initiated in writing and will be subject to any applicable legal requirements. 

 

 

5. Risk Factors: 

 

 * Regulatory Changes: The cannabis industry is subject to regulatory changes, which may impact the profitability of the investment. 

 

 * Market Fluctuations: Fluctuations in the cannabis market may affect the value of the investment. 

 

 * Operational Risks: The cultivation and production of cannabis may involve operational risks, such as crop failures or pest infestations

 * The above factors may affect the overall yield, the initial investment amount will be paid back in full at the completion of the investment

    term as funds are assigned to the leased land.

6. Dispute Resolution: 

 

 * Mediation: Any disputes arising from this agreement shall be resolved through mediation. 

 

* Arbitration: If mediation is unsuccessful, the parties agree to submit the dispute to binding arbitration. 

 

 

7. Governing Law: 

 

 * Jurisdiction: This agreement shall be governed by and construed in accordance with the laws of Thailand. 

 

8. Amendments: 

 

 * Written Amendments: Any amendments to this agreement must be made in writing and signed by both parties. 

 

 

9. Entire Agreement: 

 

 * Merger Clause: This agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous

   communications, representations, or agreements, whether oral or written. 

 

10. Severability: 

 

 * Invalid Provisions: If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions shall remain in

   full force and effect.
